Website sponsorship terms

These terms are between MileCheck LLC, a Wyoming limited liability company ("MileCheck," "we"), and the business buying a sponsorship ("you"). By sending a sponsorship request or paying our invoice, you agree to them.

1. What you're buying

A sponsorship puts your logo, one sentence about your business, a short button label and a link to your website in the sponsor slot at the top of each milecheckapp.com page you buy, for example the Snoqualmie Pass page. The pages on offer are listed on milecheckapp.com/sponsor/.

• One sponsor per page. While your sponsorship is active we won't sell that page to anyone else.
• The slot is marked "Sponsor" and the link is marked as sponsored for search engines.
• Website only. The MileCheck app carries no sponsor ads.
• If we remove or merge a page you sponsor, we'll move your slot to a comparable page you agree to, or refund the unused prepaid days for that page.

2. Term and billing

• Sponsorships are month to month, billed monthly in advance through Stripe at the price on your invoice. There is no minimum term. Founding sponsors pay $50 a month per page, or $40 a page for three or more pages.
• Your monthly price will not increase during your first three billing months. After that, we give at least 30 days' notice before a price change.
• Billing starts the day you pay. Your slot goes live within 3 business days of payment.
• You can cancel anytime. Email sales@milecheckapp.com before your next billing date. Your slot stays up through the end of your current billing period, then the sponsorship ends.
• Payments aren't refunded, including for the rest of a billing period after you cancel. The exceptions are the refunds and credits in sections 1, 4, 5, 7 and 8.
• The billing portal lets you update your card and see invoices. Cancellations and page changes are by email.
• Prices are in US dollars. Tax is added only where the law requires it.

3. Going live

You give us your logo, one sentence under 90 characters, your button and your link when you pay. We aim to put your slot live within 3 business days of payment and email you when it is.

4. If a page is already taken

If a page you asked for is already sold or pending, we'll tell you before we invoice and you can pick another. If you've already paid for a page that turns out to be taken, we'll move you to an open page you choose or refund that page's payment in full. If you're charged twice for the same pages, we refund the duplicate. When we refund a whole order, we cancel its subscription too, so no further charge follows.

5. Your content

• You confirm you have the right to use the logo, text and link you send, and that they're accurate and lawful.
• You give MileCheck permission to display them in the slot for the length of the sponsorship and to show them in screenshots of the site.
• We may decline a sponsor, or ask for changes, if the content is misleading, unlawful, adult, political, or competes with MileCheck. If we decline before going live, we refund anything you've paid in full and cancel the subscription.

6. Traffic and reporting

We don't guarantee any number of page views, impressions, clicks, search ranking or sales. The numbers on milecheckapp.com/sponsor/ and in your monthly report come from our own counts and are provided in good faith.

7. Outages

The site is occasionally unavailable. If your slot is not shown for more than seven days in a row because of a problem on our side, we'll credit the missed days against your next payment. If there is no next payment, we'll refund them.

8. Ending early

• We may end a sponsorship if your content becomes misleading or unlawful, if your link stops working and isn't fixed within seven days of our notice, or if we stop offering sponsorships. If we end it for a reason that isn't your fault, we refund any unused prepaid days and cancel the subscription.
• Payments for months already started are otherwise not refundable.

9. Limits

MileCheck's total liability under these terms is limited to the amount you paid in the three months before the claim. This limit doesn't reduce any refund or credit these terms promise you. Neither side is liable for indirect or consequential losses, such as lost profits.

10. Changes and law

We may update these terms or our prices. We'll email you at least 30 days before a change that affects your sponsorship. Your price doesn't go up in your first three billing months. After that, a price change can only start with a later renewal, never a billing period you've already paid for. If you don't agree, you can cancel before it takes effect. These terms are governed by the laws of the State of Wyoming.

11. Highway Report sponsorship

A Highway Report sponsorship is a one-time payment for one named issue of MileCheck’s monthly Highway Report. Your logo, one sentence and link appear in the sponsor slot for that issue. Nothing renews and there’s no minimum term. If we don’t publish the issue you paid for, we refund the payment in full. Sections 5, 6, 9 and 10 apply to it. The rest of these terms don’t.
